These Terms of Service (“Terms”) govern access to and use of the Ask Your Neighbor mobile application and related services (the “Platform”) operated by Ask Your Neighbor LLC, a Texas limited liability company (“Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility

1. Seeker Minimum Age. Users who offer or perform services on the Platform (“Seekers”) must be at least sixteen (16) years old.
2. Poster Minimum Age. Users who post jobs or hire services on the Platform (“Posters”) must be at least eighteen (18) years old and legally able to enter into contracts.
3. Minors (Ages 16–17). Seekers under eighteen (18) years of age may only use the Platform with the verified consent of a parent or legal guardian. By providing consent, the parent or guardian agrees to be bound by these Terms and assumes full responsibility for the minor’s activities on the Platform.
4. Authority. By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into these Terms.

2. Description of Services

1. The Platform connects homeowners or individuals seeking services (“Posters”) with individuals offering to perform short-term tasks (“Seekers”).
2. The Company does not employ Seekers, supervise jobs, or control how services are performed.
3. The Company is solely a technology platform that facilitates connections and payment processing between independent users.

3. Independent Contractor Status

1. Seekers are independent contractors and not employees, agents, joint venturers, or partners of the Company.
2. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between the Company and any user.
3. Posters are solely responsible for determining whether a Seeker is suitable for a particular task.

4. User Accounts

1. Users must provide accurate and complete information when creating an account.
2. Users are responsible for maintaining the confidentiality of their login credentials.
3. You agree not to share accounts or access another user’s account without authorization.

5. Payments, Fees, Refunds, and Disputes

1. Payments for services are processed through third-party payment processors.
2. The Company charges a five percent (5%) service fee on each completed transaction.
3. Users agree not to solicit, offer, or accept payment outside of the Platform.
4. Refunds — No-Show. If a Seeker fails to appear for a scheduled job, the Poster may request a full refund of the job amount by contacting support within forty-eight (48) hours of the scheduled start time.
5. Refunds — Incomplete Work. If a job is only partially completed, the Poster may request a partial refund proportional to the work not performed by contacting support within forty-eight (48) hours of the scheduled completion time.
6. Dispute Process. All refund and dispute requests must be submitted to support@askyourneighbor.online with the job details and a description of the issue. The Company will review each request and respond within five (5) business days. Refunds, when approved, are credited to the original payment method.
7. The Company’s decision on any refund or dispute is final. The Company is not obligated to mediate disputes outside of the specific refund cases described above.
8. The five percent (5%) platform service fee is non-refundable except where a full refund is issued to the Poster under sections 5.4 or 5.5.

6. User Conduct

Users agree not to:

• Post false, misleading, or fraudulent job listings
• Engage in unlawful, harmful, or exploitative conduct
• Use the Platform for activities involving illegal substances, weapons, or dangerous tasks
• Harass, threaten, or discriminate against other users

The Company reserves the right to remove content or suspend accounts at its sole discretion.

7. Safety and Assumption of Risk

1. The Company does not conduct background checks, verify credentials, or guarantee the identity, safety, or reliability of any user unless expressly stated.
2. Users assume all risks associated with participating in tasks arranged through the Platform, including but not limited to: Personal injury, Property damage, Financial loss.
3. Posters are responsible for maintaining safe environments for tasks. Seekers are responsible for exercising reasonable care when performing services.

8. Location Data

The Platform may collect and use location data to facilitate job matching and tracking. By using the Platform, you consent to such collection and use in accordance with our Privacy Policy.

9. User Content

By posting content to the Platform — including but not limited to profile information, profile pictures, job listings, job photos, chat messages, and reviews — you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, display, and distribute your content solely for the purpose of operating, providing, and improving the Platform.

You retain ownership of your content. You are solely responsible for the content you post and represent that you have all necessary rights to grant this license.

10. Warranty Disclaimer

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or accuracy of any information provided by users.

The Company does not warrant that any Seeker will complete work satisfactorily, that any Poster will pay, or that the Platform will be free of errors, interruptions, or security incidents. Your use of the Platform is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law:

1. The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages.
2. The Company’s total liability for any claim arising out of or relating to the Platform shall not exceed the total service fees paid to the Company in the twelve (12) months preceding the claim.
3. The Company is not responsible for the conduct, actions, or omissions of any user.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, members, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your interaction with another user
• Any services performed or received through the Platform

13. Dispute Resolution

1. Governing Law. These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
2. Arbitration. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in Texas, except where prohibited by law.
3. Class Action Waiver. Users agree to resolve disputes individually and waive the right to participate in a class action.

14. Termination

The Company may suspend or terminate accounts at its sole discretion, including for violations of these Terms. Users may terminate their accounts at any time.

15. Modifications

The Company may modify these Terms at any time. For material changes, the Company will make reasonable efforts to notify users by email to the address associated with the account or through an in-Platform notice at least seven (7) days before the changes take effect. Continued use of the Platform after such notice constitutes acceptance of the updated Terms.

16. Privacy Policy

Use of the Platform is also governed by our Privacy Policy, which is incorporated by reference.
